These Terms of Service govern your access to and use of CentralWize, an AI talent staffing service operated by CentralWize, Inc. CentralWize helps candidates demonstrate AI-native skills through timed, real-world challenges, and helps employers find, evaluate, and place qualified talent.
By accessing or using CentralWize, creating an account, submitting a candidate profile, completing a challenge, requesting employer services, viewing candidate materials, or entering into a CentralWize agreement, you agree to these Terms. If you use CentralWize on behalf of a company or other organization, you represent that you have authority to bind that organization.
Your use of CentralWize is also governed by our Privacy Policy at centralwize.com/privacy, which describes how we collect, use, and share information. The Privacy Policy is incorporated into these Terms by reference.
1. Service Description
CentralWize provides AI talent staffing services, including candidate sourcing, profile collection, challenge-based evaluation, AI-assisted scoring, human review, employer shortlists, interview coordination, placement support, retainer services, and enterprise hiring programs. Candidate evaluations may include timed assignments, simulated work scenarios, written submissions, technical artifacts, workflow descriptions, reviewer notes, and employer-facing summaries.
CentralWize is not an employer of candidate users unless a separate written agreement expressly says otherwise. CentralWize does not guarantee that any candidate will receive an interview, offer, placement, contract, compensation, or employment relationship. CentralWize does not guarantee that any employer will find, hire, retain, or be satisfied with any candidate.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into these Terms. If you use CentralWize for an employer, agency, company, or other organization, you represent that you are authorized to act for that organization and to provide information on its behalf.
3. Account Types and Access
CentralWize may support different account types with different permissions and responsibilities.
- Candidate accounts allow individuals to submit profiles, resumes, portfolios, challenge work, availability, and hiring preferences.
- Employer accounts allow hiring teams to submit role requirements, review shortlists, view approved candidate materials, provide feedback, coordinate interviews, and manage placement or retainer workflows.
- Admin accounts are used by CentralWize personnel, contractors, reviewers, and authorized service providers to operate, review, support, secure, and improve the service.
You are responsible for keeping account credentials secure and for all activity under your account. You must promptly notify us at support@centralwize.com if you believe your account has been compromised.
4. Candidate Responsibilities
Candidates must provide accurate, current, and complete information. Candidate profiles, resumes, portfolios, credentials, work history, compensation expectations, work authorization, and availability must not be false, misleading, or materially incomplete.
- You must submit original work for challenges unless the challenge instructions expressly allow use of existing material, collaboration, templates, AI tools, open-source code, or third-party resources.
- You must follow all challenge instructions, time limits, disclosure requirements, and allowed-tool rules.
- You must not cheat, impersonate another person, outsource challenge work, submit work you did not meaningfully create, tamper with timing systems, bypass security controls, or misrepresent your process.
- You must not use AI tools during timed challenges unless the challenge instructions explicitly allow AI use. If AI use is allowed, you must disclose it in the manner requested.
- You must respect employer confidentiality and must not disclose private role details, interview materials, candidate shortlists, or employer search information without permission.
5. Employer Responsibilities
Employers must use CentralWize and candidate materials only for legitimate hiring, evaluation, interviewing, contracting, placement, and workforce planning purposes.
- You must provide accurate role requirements, company information, compensation expectations, hiring timelines, billing details, and decision process information.
- You must keep candidate profiles, resumes, challenge submissions, scores, reviewer notes, shortlists, and CentralWize recommendations confidential.
- You must not redistribute candidate materials, upload them into public systems, use them to train models, or share them outside your hiring team without CentralWize authorization and any required candidate consent.
- You are responsible for timely payment of placement fees, retainers, enterprise contract amounts, and other agreed charges.
- You must comply with applicable employment, anti-discrimination, privacy, background check, wage, immigration, and hiring laws.
6. Challenge Rules
CentralWize challenges are designed to evaluate real-world execution, judgment, communication, AI-native workflow, and role-specific skills. Challenge instructions may include time windows, permitted tools, prohibited tools, required disclosures, deliverable formats, submission deadlines, scoring criteria, and confidentiality obligations.
CentralWize may reject, rescore, audit, or invalidate a challenge submission if we believe the submission violates instructions, contains misrepresentations, was not completed by the candidate, includes unauthorized assistance, creates security concerns, or otherwise undermines evaluation integrity.
Challenge materials, prompts, simulated datasets, rubrics, scoring systems, reviewer workflows, and evaluation procedures are CentralWize confidential information unless we state otherwise in writing.
7. Intellectual Property
Candidates retain ownership of their pre-existing intellectual property and original challenge submissions, subject to the licenses granted in these Terms and any separate written agreement. By submitting candidate materials to CentralWize, you grant CentralWize a worldwide, non-exclusive, royalty-free, sublicensable license to host, copy, store, format, review, score, summarize, display, transmit, and otherwise use those materials to operate the service, evaluate you, match you with employers, improve evaluation quality, and support placement opportunities.
You also authorize CentralWize to share candidate materials, scoring outputs, reviewer notes, summaries, and related profile information with employers for evaluation, interviewing, hiring, contracting, and placement purposes. If a candidate is placed with an employer, any additional rights in work product, inventions, deliverables, or employment-related materials will be governed by the agreement between the candidate and employer, or by a separate written placement, consulting, contractor, or employment agreement.
Employers receive a limited, confidential license to review candidate materials solely for internal evaluation and hiring purposes before placement, subject to the confidentiality obligations in Section 9. Upon placement, the employer receives the rights expressly granted in the applicable candidate-employer agreement or CentralWize placement agreement. No other rights are granted by implication.
CentralWize and its licensors retain all rights in the platform, challenge prompts, simulated datasets, rubrics, scoring frameworks, reviewer tools, software, content, trademarks, trade names, service marks, and branding.
CentralWize will not use candidate challenge submissions to train proprietary machine learning models without obtaining separate consent.
8. Fees and Payment
Candidates are not charged by CentralWize for creating a candidate profile, completing CentralWize challenges, or being considered for CentralWize-supported opportunities.
Employers may owe placement fees, retained search fees, monthly retainers, enterprise contract amounts, subscription fees, success fees, cancellation fees, or other charges described in a separate order form, statement of work, placement agreement, retainer agreement, enterprise contract, invoice, or written communication accepted by the employer. If a separate written agreement conflicts with these Terms on fees, payment timing, refundability, taxes, or collections, the separate written agreement controls for that subject.
Unless otherwise agreed in writing, employer fees are due according to the applicable invoice or agreement. Late amounts may result in suspended access, paused searches, collection activity, interest, or other remedies permitted by law and contract.
If CentralWize introduces a candidate to an employer, and the employer hires, contracts with, or engages that candidate within 12 months of the introduction, the applicable placement fee is owed to CentralWize regardless of whether the hire occurs through CentralWize or through other channels. This obligation survives termination of the employer's use of CentralWize.
All fees are exclusive of applicable taxes. Employers are responsible for all taxes, duties, and government charges (other than CentralWize's income taxes) applicable to their purchases.
Guarantee periods, refund terms, and replacement provisions, if any, will be set forth in the applicable placement agreement or employer contract.
9. Confidentiality
Users may receive non-public information through CentralWize, including employer search details, compensation bands, candidate identities, candidate submissions, challenge materials, reviewer notes, scoring information, business plans, technical information, pricing, and operational processes. You must use confidential information only for the purpose for which it was provided and must protect it with reasonable care.
You must not disclose confidential information to third parties except to authorized personnel who need the information for a permitted purpose and are bound by confidentiality obligations at least as protective as these Terms. This section does not restrict disclosure required by law, provided you give CentralWize prompt notice where legally permitted.
10. Acceptable Use
You must not misuse CentralWize. Prohibited conduct includes attempting to access accounts or systems without authorization, scraping or harvesting data, interfering with platform operations, uploading malicious code, evading security controls, reverse engineering protected systems, submitting unlawful or infringing materials, violating employment or privacy laws, or using CentralWize in a way that harms candidates, employers, CentralWize, or third parties.
11. AI-Assisted Evaluation
CentralWize may use AI systems, including the Claude API (Anthropic) and the OpenAI API, to summarize candidate materials, evaluate challenge submissions against rubrics, identify strengths and weaknesses, flag potential integrity issues, and assist human reviewers. AI outputs may be incomplete or inaccurate. CentralWize may review, adjust, or disregard AI outputs in its judgment.
Candidates and employers should not treat AI-assisted scores or summaries as guarantees of performance, employment suitability, legal compliance, or hiring outcomes. Employers remain responsible for their own hiring decisions and legal obligations.
12. Disclaimers
CentralWize is provided on an as-is and as-available basis. To the maximum extent permitted by law, CentralWize disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.
CentralWize does not guarantee that the service will be uninterrupted, error-free, secure, or that candidate evaluations, employer matches, recommendations, scores, summaries, interviews, placements, or hiring outcomes will meet your expectations.
13. Limitation of Liability
To the maximum extent permitted by law, CentralWize, Inc. and its owners, officers, employees, contractors, agents, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost opportunities, loss of data, reputational harm, or hiring outcomes, even if advised of the possibility of such damages.
To the maximum extent permitted by law, CentralWize's total liability for any claim arising out of or relating to the service or these Terms will not exceed the greater of 100 U.S. dollars or the amount paid by you to CentralWize for the service giving rise to the claim during the three months before the event giving rise to liability. For candidate users who have not paid CentralWize, the cap is 100 U.S. dollars.
Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, or any liability that cannot be excluded or limited by applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless CentralWize, Inc. and its owners, officers, employees, contractors, agents, service providers, and affiliates from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the service, your materials, your hiring or employment decisions, your violation of these Terms, your violation of law, your infringement or misappropriation of rights, or your dispute with another user, candidate, employer, or third party.
15. Termination
You may stop using CentralWize at any time. To request account deletion, contact support@centralwize.com. Account deletion does not relieve outstanding payment obligations or terminate surviving provisions. CentralWize may suspend or terminate access to the service, remove content, invalidate submissions, pause employer searches, or decline to provide services if we believe you violated these Terms, created risk for the platform, failed to pay amounts owed, submitted inaccurate information, compromised evaluation integrity, or used the service unlawfully or inappropriately.
Sections that by their nature should survive termination will survive, including confidentiality, intellectual property licenses, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
16. Dispute Resolution and Governing Law
These Terms and any dispute arising out of or relating to CentralWize are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
Any dispute, claim, or controversy arising out of or relating to these Terms, the service, candidate evaluations, employer searches, placements, payments, or your relationship with CentralWize will be resolved by binding arbitration on an individual basis, except that either party may seek injunctive or equitable relief in court for misuse of confidential information, intellectual property infringement, unauthorized access, or other urgent harm.
The arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures, or by another arbitration provider agreed to by both parties. The seat of arbitration will be Delaware unless the parties agree otherwise. You and CentralWize waive any right to a jury trial and any right to bring or participate in a class action, class arbitration, collective action, or representative proceeding to the maximum extent permitted by law.
Either party may bring an individual action in small claims court instead of arbitration if the claim qualifies.
17. Changes to These Terms
CentralWize may modify these Terms from time to time. When we make material changes, we may update the date above, post notice on the website, or provide another notice as required by law. Updated Terms are effective when posted unless a later effective date is stated. Your continued use of CentralWize after updated Terms become effective means you accept the updated Terms.
18. General Provisions
CentralWize may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to be enforceable, and the remaining provisions will remain in full effect.
CentralWize's failure to enforce any provision of these Terms is not a waiver of that provision or the right to enforce it later.
These Terms, together with the Privacy Policy and any separate written agreements between you and CentralWize, constitute the entire agreement between you and CentralWize regarding the service and supersede all prior understandings.
